Terms of service
Effective October 11, 2026.
1. Acceptance. These Terms of Sale apply to every order placed with Bastion Surgical LLC ("Bastion") through bastionsurgical.com, by purchase order, or by any other means. They override any different or added terms in a buyer's purchase order unless Bastion agrees to them in a signed writing. Placing an order means you accept these terms.
2. Accounts and eligibility. We sell to hospitals, ambulatory surgery centers, government facilities, distributors and other healthcare organizations with an approved account. Pricing and ordering are available only to approved accounts. We may approve, limit or close any account.
3. Pricing. Prices are those shown in your account at the time of order, in U.S. dollars. Prices exclude freight and any applicable taxes. Contract or GPO pricing applies only where a written agreement is on file with Bastion.
4. Orders. An order is accepted when we confirm it or ship it. We may decline or cancel an order, including for pricing errors or product availability. Items not in stock may be backordered; we will confirm timing with you after the order is placed.
5. Payment. Unless your account has approved credit terms, payment is due when your order ships, by the card or ACH account on file, which is charged at fulfillment. Accounts approved for Net 30 must pay each invoice within 30 days of the invoice date. We may change or withdraw credit terms at any time.
6. Late payment. Except for orders governed by the Prompt Payment Act (section 14), invoices not paid when due accrue a late charge of 1.5% per month (18% per year), or the highest rate allowed by law if lower, from the due date until paid. You agree to pay reasonable costs of collecting overdue amounts. We may hold shipments on accounts with past-due balances.
7. Taxes. You are responsible for applicable sales and use taxes unless you give us a valid exemption certificate before the order ships. Exemptions are applied going forward from the date we receive the certificate.
8. Shipping, title and risk. Orders ship FOB Origin, Evart, Michigan. Title and risk of loss pass to you when we deliver the goods to the carrier. Freight is billed to your carrier account or prepaid by Bastion and added to your invoice at actual cost. Ship dates are estimates. Report shortages or visible damage within 5 business days of delivery.
9. Returns. Unused products in their original sealed packaging may be returned within 30 days of delivery with a Return Material Authorization (RMA) number from Bastion. Contact orders@bastionsurgical.com for an RMA. Returns without an RMA may be refused. A $50 restocking fee applies to each accepted return, except returns of defective or incorrectly shipped products. Products that have been opened, used, reprocessed or customized are not returnable except under the warranty in section 10.
10. Limited warranty.
- Reusable instruments: Bastion warrants its reusable surgical instruments to be free from defects in materials and workmanship, under normal use and proper care, for the lifetime of the instrument.
- Consumables and wear parts: drills, drill bits, saw blades, replacement mallet tips and other wear parts are warranted against defects in materials and workmanship for 90 days from delivery.
- Positioning equipment and accessories: warranted against defects in materials and workmanship for 1 year from delivery. Gel pads, belts and other soft goods: 90 days.
- What is not covered: normal wear, including dulling of cutting edges; damage from misuse, abuse, accident or use other than as intended; improper cleaning, reprocessing or sterilization contrary to the Instructions for Use; repair, sharpening or modification by anyone other than Bastion or its authorized service provider; and instruments whose markings have been removed or altered.
- Remedy: for a valid claim, Bastion will repair or replace the product, or issue a credit for its purchase price, at Bastion's option. This is your sole remedy under this warranty. Warranty claims require an RMA and return of the product, cleaned and decontaminated per our instructions.
- The warranty applies to the original purchasing facility and is not transferable.
EXCEPT AS STATED IN THIS SECTION, BASTION MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
11. Limitation of liability. To the extent allowed by law, Bastion is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or procedure delays, arising from any sale. Bastion's total liability for any claim relating to a product will not exceed the amount you paid for that product.
12. Intended use. Our products are intended for use by trained healthcare professionals in accordance with their Instructions for Use. Instructions for Use are available on request and with each product. You are responsible for cleaning, sterilization and inspection before each use.
13. Regulatory and product information. Product descriptions, images and specifications on our website are for general information and may change without notice. Contact us for current Instructions for Use and specifications before purchase.
14. Government purchasers. For orders from U.S. government agencies, applicable federal law and regulations, including the Prompt Payment Act, govern payment terms and interest in place of sections 5 and 6 where they conflict. Terms of a valid government contract or purchase order required by law control over these terms.
15. Governing law. These terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Michigan, except where federal law requires otherwise for government purchasers.
16. Changes. We may update these terms from time to time. The version posted on our website when you place an order applies to that order.
